Effective as of the date of your first application and/or participation in the Referral Program. By applying to (or by participating in) any referral program (or referral marketing or affiliate program/marketing or other similar marketing/programs) you are agreeing to all the terms and conditions below.

Referral Program – Terms and Conditions

These Referral Program Terms and Conditions (“Referral Terms” or “Terms”) constitute a legally binding agreement between Nesote Technologies Private Limited (“Nesote”, “We”, “Us”, or “Our”), which owns, operates, and manages the verbalpeak.com platform/website (“VerbalPeak”), and you (“User”, “You”, or “Your”), governing your participation in the VerbalPeak Referral Program (“Program”).

By accessing, participating in, or using the VerbalPeak Referral Program, You expressly acknowledge that You have read, understood, and agreed to be bound by these Terms. If You do not agree, You must immediately discontinue participation.

These Terms create enforceable legal rights and obligations between Nesote and You, and Your continued participation in the Program constitutes acceptance of this binding agreement.

1. Definitions

• 1.1 “User” or “You” means any individual participating in the Referral Program through VerbalPeak.
• 1.2 “Referrer” means any registered VerbalPeak user who refers one or more new users to the platform. Multiple Referrers may exist simultaneously.
• 1.3 “Referee” means a new user who registers on VerbalPeak using a valid referral link or code shared by a Referrer.
• 1.4 “Referral Points” or “Points” means the reward units credited to a User’s account for valid referrals.
• 1.5 “Nesote” refers to Nesote Technologies Private Limited, which owns and manages VerbalPeak.
• 1.6 “Program” means the VerbalPeak Referral Program governed by these Terms.

2. Acceptance of Terms

• 2.1 By participating in the Program, You confirm that You have read, understood, and agreed to these Terms, and You also expressly agree to VerbalPeak’s main Terms and Conditions and Privacy Policy.
• 2.2 Participation in the Program is voluntary and free of charge.
• 2.3 If You do not agree to these Terms, You must not participate in the Program.

3. Eligibility

• 3.1 The Program is open only to registered and verified VerbalPeak users with active accounts.
• 3.2 Nesote reserves the right to verify eligibility at any time.
• 3.3 Nesote may refuse, suspend, or revoke participation for any User, at its sole discretion, without prior notice or obligation to provide a reason.

4. Referral Process

• 4.1 A Referrer may invite multiple new users to register on VerbalPeak by sharing their unique referral link or code.
• 4.2 A referral shall be considered valid only if:
  • The Referee registers using the Referrer’s unique link or code;
  • The Referee’s registration is genuine and non-fraudulent; and
  • The Referee maintains an active and valid account.
• 4.3 For each valid referral, the Referrer may earn up to fifteen (15) points.
• 4.4 Each point shall be equivalent to ₹1 (Rupee One) at the time of withdrawal.
• 4.5 Nesote retains the sole authority to verify and validate all referrals before awarding points.

5. Rewards and Withdrawal Policy

• 5.1 Referral points will be credited only after successful verification of the referral’s authenticity.
• 5.2 Users may request a withdrawal only after accumulating a minimum of two hundred (200) points.
• 5.3 All withdrawal requests are subject to Nesote’s verification and approval.
• 5.4 Nesote reserves the right to approve, reject, delay, or cancel any withdrawal request at its absolute discretion, without assigning any reason.
• 5.5 Referral points and rewards are non-transferable and may be subject to applicable taxes or deductions as per law.
• 5.6 Nesote’s records and calculations regarding points earned, valid referrals, and withdrawal eligibility shall be final and binding.

6. Earning Limits

• 6.1 Users may earn referral points up to the following maximum limits:
  • Daily Limit: 100 points per day
  • Monthly Limit: 2,000 points per calendar month
  • Yearly Limit: 5,000 points per calendar year
• 6.2 Once a User reaches any of the above limits, no further referral points shall be credited for that period, even if additional valid referrals are made.
• 6.3 Nesote reserves the right to adjust these limits at any time, without notice.

7. Fraud, Misuse, and Prohibited Conduct

• 7.1 Users are strictly prohibited from engaging in fraudulent, abusive, or manipulative activities, including but not limited to:
  • Creating duplicate or fake accounts;
  • Self-referrals or referrals made from the same device, IP address, or network;
  • Use of bots, scripts, or automated means;
  • Misrepresentation or dissemination of false information to induce sign-ups.
• 7.2 In the event of suspected fraud or misuse:
  • All referral points shall be forfeited immediately;
  • The User’s participation may be suspended or terminated; and
  • Nesote may pursue legal action if necessary.
• 7.3 Nesote’s decision regarding the genuineness of referrals and any related activity shall be final and binding.

8. Program Modification, Suspension, or Cancellation

• 8.1 Nesote reserves the unrestricted right to modify, suspend, or cancel the Referral Program at any time, in whole or in part, without prior notice or liability.
• 8.2 Nesote may also cancel or disable the Program selectively for certain Users or regions at its sole discretion.
• 8.3 Nesote shall not be responsible for any loss, inconvenience, or claim arising out of such modification, suspension, or cancellation.

9. Limitation of Liability

• 9.1 Participation in the Program is entirely at the User’s own risk.
• 9.2 To the fullest extent permitted by law, Nesote, its directors, employees, affiliates, and agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from participation in the Program.
• 9.3 Under no circumstances shall Nesote’s total cumulative liability to any User exceed INR 500 (Rupees Five Hundred only).

10. Disqualification and Termination

• 10.1 Nesote reserves the right to disqualify any User from the Program at any time for any reason, including but not limited to breach of these Terms or fraudulent conduct.
• 10.2 All referral points accumulated through invalid or fraudulent means shall be forfeited.
• 10.3 Nesote’s decision in this regard shall be final and binding.

11. Governing Law and Arbitration

• 11.1 These Terms shall be governed by and construed in accordance with the laws of India.
• 11.2 Any disputes arising out of or relating to these Terms shall be subject to binding arbitration in Kochi, India, under the provisions of the Arbitration and Conciliation Act, 1996.
• 11.3 The arbitration shall be conducted in English, and the award shall be final and binding on both parties.

12. No Class Action

• 12.1 You agree that any disputes shall be resolved on an individual basis only.
• 12.2 Class actions, class arbitrations, or representative proceedings are expressly disallowed.

13. Modification of Terms

• 13.1 Nesote reserves the right to modify, amend, or replace these Terms at any time, without prior notice.
• 13.2 Any modifications shall become effective immediately upon posting on this page.
• 13.3 It is Your responsibility to review these Terms periodically. Continued participation constitutes acceptance of the revised Terms.

14. Legal Compliance and Communication Conduct

• 14.1 You must comply with all applicable laws, rules, regulations, and data protection statutes in India and in any other countries or jurisdictions where You or the referred individuals (Referees) are located, including but not limited to data privacy, electronic communication, and anti-spam regulations.
• 14.2 You shall not send unsolicited messages, spam, or engage in bulk communication (via SMS, email, WhatsApp, or any other medium) to promote Your referral links.
• 14.3 You shall not misrepresent VerbalPeak, make false claims, or engage in misleading or unlawful marketing practices.
• 14.4 Nesote shall not be liable for any act, omission, or non-compliance by You (and/or any other Referrer(s)) that violates applicable law, and any such violation may lead to disqualification and forfeiture of all referral points.
